Agency Partner Obligations and Rules
Once you have signed up for the Program you will be provided with a URL link that must be used to identify you when placing a link from your site, email or other communications to the Magestore website. It is your responsibility to ensure each such link is correctly formatted.
We may also provide graphical images that can be used within the links to promote Magestore. You may not modify these images in any way. We reserve the right to change the images at any time without notice.
You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site
You may not use our name or graphics in any bulk email whatsoever unless we have given our advanced written consent. We may terminate the Agreement if any meaningful spam complaints naming us or our services result from your marketing activities.
You may not issue any press release with respect to this Agreement or your participation in the Program; such action may result in your termination from the Program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, say you develop our Services, say you are part of Magestore or express or imply any relationship between us and you or any other person or entity, except as expressly permitted by this Agreement.
You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process for an Agency Partner account (“account”)
Your business must be an agency business or any web development related business
Each account is for use by a single legal entity (e.g. a company or a partnership). We do not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any user names and passwords issued (including those of any Invitees) rests with you.
Magestore may choose at their discretion to auto-approve your application. This does not imply that we will not re-evaluate your application at a later time. We reserve the right to reject your membership in our Agency Partner Program at any point in time, at our sole discretion. This is especially true if the Agency Partner ’s website or promotional materials breach any of the points set out in
In the event that Agency Partner materially breaches this Agreement and Magestore terminates this Agreement any accrued and payable Commissions owing to Agency Partner shall be forfeited, and Magestore shall not be obligated to pay such Commissions to Agency Partner.
Agency Partner agrees that Agency Partner’s website, service or correspondence does not contain any materials that in Magestore’ sole discretion are considered to:
- Promote adult content, including nudity, sexual terms and/or images of people in positions or activities that are excessively suggestive or sexual, or provocative images in violation of legislation in your local jurisdiction;
- Promote hate speech, whether directed at an individual or a group, and whether based upon the race, sex, creed, national origin, religious affiliation, marital status, sexual orientation, gender identity, or the language of such individual or group;
- Incorporate any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
- Includes “Magestore” or variations or misspellings thereof in its domain name and as keywords in PPC campaigns
- Promote political or religious agendas and/or any known associations with hate, criminal and/or terrorist activities;
- Promote gambling, including without limitation, any online casino, sportsbooks, bingo, or poker;
- Contain software downloads that potentially enable diversions of commission from other Agency Partner s in our program;
- Make representations through domain name, code, designs, imagery, video, text or otherwise that makes your website resemble the Magestore Website in a manner that leads customers to believe you are the Magestore Website, business or a legal representative of Magestore in any way. The creation of separate websites to solely promote Magestore products and services is also strictly prohibited.
- Offer rebates, coupons, or another form of promised kickbacks from your Commission as an incentive. Adding bonuses or bundling other products with Magestore, however, is acceptable, if prior permission is received from the Agency Partner Program Manager.
- Make false claims and promote non-existing discounts, coupons, bargains or use other misleading strategies to gain traffic through the Agency Partner links.
- Promote any special deal or offer in a way that contradicts the arrangement set forth by the Agency Partner Program Manager when offering such a deal to you.
- Generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set Agency Partner cookies unless the user has expressed a clear and explicit interest in activating specific savings by clicking on a clearly marked link, button or image for that particular coupon or deal. Agency Partner Program links must direct users to the Magestore Website
Agency Partners may not use misleading text on Agency Partner links, buttons or images to advertise anything besides currently authorized deals to the specific Agency Partner. The commercial purpose of the Agency Partner’s marketing efforts must be clearly identifiable. The Agency Partner shall not disguise its Agency Partner marketing efforts as consumer recommendations or as similar non-commercial messages.
Magestore reserves the right, at any time, to review your link placement and either approve or disapprove the use of your Agency Partner links and require that you change the placement of links or ask you to comply with these guidelines.
Self-referrals for Agency Partner purchases are strictly prohibited. This means that you cannot refer to yourself, your immediate family or the company you work for by using your Agency Partner link. You will not receive a commission on any purchases made by yourself for your own use, your immediate family members or the company you work for.
We reserve the right to remove Abandoned Agency Partner Accounts from our system if their balance is equal to or less than $100 after a 6 month period of inactivity. In this case, any accumulated commissions below $100 (minimum payout threshold) will be forfeited.
If your account was terminated due to violations set forth in these Agency Partner Program Terms, you may not create another account in our Agency Partner Program.
Agency Partner Fees
For the sale of a subscription to be eligible to earn a referral fee, the customer must click through a link from your site, email, or other communications to the Magestore website and sign up within 90 days of the initial click-through. If they fail to sign up within those 90 days and later return without following your link, you will not earn a referral fee.
We will only pay referral fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay referral fees if someone says they signed up through you but it was not tracked by our system.
The referral fee is 20% of our license revenue from customers that you refer. The referral fee will be credited to your Agency Partner account once the customer pays their license. Referral fees are only earned when a customer makes a payment in full.
Payment
Commissions are earned from authorized referrals that generate purchases via your Agency Partner links. No commissions are granted for referring existing Magestore users.
Commission amounts per product/service sold may be changed by Magestore at any time.
No Commission payment shall be made unless the total successful referred sales have exceeded 2 payments. Magestore believes in long-term partnership, so any behaviour aiming at a promotion for a one time deal is not welcome.
For an Agency Partner to receive a Commission, the Agency Partner account must remain active for a minimum of seven (30) days after the payment date.
Agency Partner is responsible for any and all charges, fees, taxes, exchange rates, surcharges and other expenses arising out of the Agency Partner relationship with Magestore including those incurred in order to receive Agency Partner payments.
Payments will only be sent for Agency Partner purchases that have been successfully completed and non-refund for 30 days. Transactions that result in chargebacks or refunds will be void.
Accrued referral fees are paid via bank transfer roughly once per month and only when your accrued referral fees total $500 or more. The commissions due are updated by Email, Slack or a report upon request. The Agency Partner will then raise an invoice to Magestore for the indicated amount. We pay Agency Partner via PayPal or wire transfer.
The referral fee structure is subject to change at our discretion.
We reserve the right to disqualify referral fees earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.
All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you.
We reserve the right to check and change commissions on the basis of orders actually paid, the notification e-mail is not understood as a confirmed commission – this is only a notification, and every payment will be verified based on real transactions.
Customer Definition
Every customer who buys a service through this program is deemed to be a customer of Magestore. Accordingly, all of our rules, policies and operating procedures concerning pricing, customer orders, customer service, and services sales will apply to those customers. We may change our policies and operating procedures at any time. Magestore is not responsible for any representations made by the Agency Partner that contradict our rules, policies or operating procedures.
Pricing & Availability
We will determine the prices to be charged for services sold under this Program in accordance with our own pricing policies. Services prices and availability may vary from time to time. Because price changes may affect services that you have listed on your site, you should not display services prices on your site. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular service.
Copyrighted and Trademarked material
You are solely responsible for ensuring that your reviews, product descriptions and articles (if applicable at your site) obey all applicable copyright, trademark, and other laws. Magestore will not be responsible if you use another party’s copyrighted or trademarked material in violation of the law.
Term of the Agreement and Program
The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this Agreement. Magestore reserves the right to end the Program at any time. Upon Program termination, Magestore will pay any legitimate outstanding earnings.
Termination
Magestore, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Program, or any other Magestore service, for any reason at any time. Such termination will result in the deactivation or deletion of your Agency Partner Account, and the forfeiture and relinquishment of all potential or accrued referral fees in your Account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. Magestore reserves the right to refuse service to anyone for any reason at any time. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to the Magestore website and all our images and other materials provided under the Program
Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any joint venture, agency, franchise, sales representative, or employment relationship between the parties. Although we consider this as a partnership, you will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement.
Waiver
If we fail, at any time to insist upon strict performance of any of your obligations under these Terms, or if we fail to exercise any of the rights or remedies to which we are entitled hereunder, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.
A waiver by us of any default shall not constitute a waiver of any subsequent default.
No waiver by us of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.
Severability
If any of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law. “
